These Terms of Service ("Terms") govern your use of the Rays Technology website and the purchase of our products and services. By accessing our website or purchasing our products, you agree to be bound by these Terms.

1. General Terms

Rays Technology ("Company," "we," "us," or "our") operates from Brussels, Belgium (VAT: BE0797331189). These Terms apply to all visitors, users, and customers who access or use our services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified Terms.

2. Products and Services

Product Specifications

We make reasonable efforts to ensure product descriptions and specifications are accurate. However, we do not warrant that descriptions, specifications, or content are error-free, complete, or current.

Pricing

All prices are quoted in EUR unless otherwise stated and are subject to change without notice. Prices do not include applicable taxes, duties, or shipping costs unless explicitly stated. Custom development projects are quoted separately.

Availability

Product availability is subject to change. Standard products typically ship within 4-8 weeks. Custom products have variable delivery times specified in quotations. We will notify you if a product becomes unavailable after order placement.

3. Orders and Payment

Order Acceptance

All orders are subject to acceptance by Rays Technology. We reserve the right to refuse or cancel any order for any reason, including product availability, errors in pricing or product information, or suspected fraud.

Payment Terms

Standard payment terms are:

• 50% deposit upon order confirmation
• 50% payment before shipment
• NET30 terms available for established customers
• Milestone-based payments for larger projects

Late payments may incur interest charges of 1.5% per month or the maximum allowed by law, whichever is lower.

4. Shipping and Delivery

Shipping costs are calculated based on destination, weight, and shipping method. Risk of loss and title pass to the customer upon delivery to the carrier. Delivery dates are estimates only and not guaranteed.

International shipments are subject to customs clearance, import duties, and taxes, which are the customer's responsibility.

5. Warranty and Returns

Limited Warranty

We provide a 12-month limited warranty covering manufacturing defects and workmanship from the date of delivery. This warranty does not cover:

• Damage from misuse, abuse, or unauthorized modifications
• Normal wear and tear
• Improper installation or maintenance
• Acts of nature or external causes

Returns

Returns must be authorized in advance and returned within 30 days in original, unused condition with all packaging and documentation. Custom-built products are non-returnable. Restocking fees may apply.

6. Intellectual Property

All content on this website, including text, graphics, logos, software, and documentation, is the property of Rays Technology or its licensors and is protected by copyright, trademark, and other intellectual property laws.

For custom development projects, IP ownership is specified in individual project contracts. Standard products include a license to use included software but do not transfer ownership of underlying IP.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT OR SERVICE
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE ARE NOT LIABLE FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES

8. Indemnification

You agree to indemnify and hold harmless Rays Technology from any claims, damages, or expenses arising from your use of our products, violation of these Terms, or infringement of any third-party rights.

9. Export Compliance

Our products may be subject to export control regulations. Customers are responsible for compliance with all applicable export laws and regulations, including obtaining necessary licenses. We reserve the right to refuse sales to certain countries or entities.

10. Governing Law and Dispute Resolution

These Terms are governed by Belgian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.

Before initiating legal proceedings, parties agree to attempt resolution through good faith negotiations for 30 days.

11. Miscellaneous

Entire Agreement

These Terms, together with any purchase orders, quotations, and other written agreements, constitute the entire agreement between you and Rays Technology.

Severability

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.
